Terms of use

The operating agreement.

These terms govern the Nexus Prime website, accounts, licenses, software access, support, and team pilots.

1. Acceptance

By accessing or using Nexus Prime, you agree to these Terms of Use and our Privacy Policy. If you use Nexus Prime for an organization, you confirm that you have authority to accept these terms for that organization.

You must be legally able to enter a binding agreement where you live. If you do not agree to these terms, do not create an account or use the service.

2. Accounts and access

  • Provide accurate account information and keep it current.
  • Keep credentials and license keys private and secure.
  • Do not share access beyond the users or seats authorized for your account.
  • Tell us promptly if you believe an account or key has been compromised.

You are responsible for activity performed through your account unless applicable law says otherwise.

3. Software license and pilots

Subject to these terms and the access attached to your account, Nexus Prime grants you a limited, non-exclusive, non-transferable, revocable right to install and use the software for your own development work or your organization's authorized work.

A team pilot may have a separate written scope covering participants, support, deployment, timing, and deliverables. If that written scope conflicts with these terms, the written pilot terms control for that pilot.

4. Acceptable use

Do not use Nexus Prime to:

  • Break the law, infringe rights, or facilitate harmful or deceptive activity.
  • Access systems, accounts, repositories, or data without authorization.
  • Bypass license, security, usage, or access controls.
  • Distribute malware, disrupt the service, probe it abusively, or overload its infrastructure.
  • Resell, sublicense, or provide the service as a standalone product without written permission.
  • Reverse engineer protected portions of the service except where applicable law expressly permits it.

You remain responsible for reviewing agent output, code changes, commands, and deployment decisions before they affect your systems or users.

5. Your work and Nexus Prime ownership

You retain rights to your source code, repositories, prompts, instructions, and other material you provide or create. These terms do not transfer ownership of that work to Nexus Prime.

Nexus Prime and its licensors retain rights in the website, software, branding, documentation, and service technology. Feedback you voluntarily provide may be used to improve Nexus Prime without an obligation to compensate you.

6. Third-party tools and services

Nexus Prime can work alongside coding agents, model providers, editors, source hosts, package registries, and other services. Those services are independent and governed by their own terms, privacy policies, availability, and charges. Nexus Prime is not responsible for a third party's service or for instructions you send to it.

7. Changes, availability, and suspension

We may improve, change, or discontinue features and may release experimental or preview functionality. We may suspend or terminate access when reasonably necessary to address abuse, security risk, legal requirements, non-payment under a separate agreement, or a material breach of these terms.

You may stop using Nexus Prime at any time. To request account closure, email hello@nexus-prime.cfd.

8. Warranties and liability

Review remains your responsibility. Nexus Prime organizes agent work and evidence; it does not guarantee that an agent's output, a code change, or a deployment is correct or suitable for your use.

To the maximum extent permitted by law, Nexus Prime is provided “as is” and “as available” without implied warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation.

To the maximum extent permitted by law, Nexus Prime and its contributors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption. Any liability that cannot lawfully be excluded will be limited to the extent permitted by applicable law.

9. General terms and contact

If one part of these terms is unenforceable, the remaining parts continue to apply. A delay in enforcing a term does not waive it. You may not transfer these terms without written permission; Nexus Prime may transfer them as part of a reorganization or business transfer.

Applicable law governs these terms, and disputes will be handled by a court or forum with lawful jurisdiction. We may update these terms and will revise the date above. Continuing to use Nexus Prime after an effective update means you accept the updated terms where permitted by law.
